Terms of Service

These terms apply to the software, websites, hosting, IT support and other services provided by True Collar Built ("we", "us") to you ("you", "the client"), and to your use of truecollarbuilt.com. By accepting a quote, paying an invoice or using our services, you agree to these terms. If a signed agreement or quote with you says something different, that document wins for the matter it covers.
1. Our services
We design, build, host and maintain custom software for businesses, including web apps, SaaS, online stores, client portals, CRMs, websites, SOPs and training, and we provide remote and on site IT support. What's included in each project is set out in its quote or proposal ("the scope").
2. Quotes and changes
Quotes are valid for 30 days unless they say otherwise. Work outside the agreed scope is a change request. We'll confirm the cost and timing of any change with you before doing the work.
3. Payment
- Invoices are due by the date shown on the invoice.
- Project work may require a deposit before it starts and milestone payments as it progresses.
- Monthly and yearly services (hosting, care plans, subscriptions and support) are billed in advance for each period.
- If an invoice is more than 30 days overdue, we may pause the related services after giving you notice, until the account is brought up to date.
- Prices are in Canadian dollars and don't include GST or other applicable taxes unless stated.
4. Your responsibilities
- Give us accurate information, content and timely feedback so we can do the work.
- Make sure you have the right to use any content, logos, images and data you give us.
- Use the systems we build and host lawfully, including anti-spam (CASL) and privacy laws when you contact your own customers.
- Keep your own logins and passwords safe, and tell us right away if you think an account has been compromised.
5. Ownership
Once you've paid in full for a project, you own the custom work we created specifically for you, such as your site design, content and custom features. We keep ownership of our own tools, code libraries, templates and platforms that we used to build it, and you receive a permanent licence to use them as part of your project. Our software products (such as ShopRego, FleetRego and Malter) are licensed to you on a subscription basis and remain ours. We may show your project in our portfolio unless you ask us not to.
6. Hosting, backups and availability
For services we host, we keep regular backups and monitor our servers. We aim for high availability but we can't guarantee uninterrupted service, and outages can happen because of maintenance, third party providers or events outside our control. We'll work to restore service promptly.
7. Confidentiality and data
We keep your business information and any login details you share with us confidential, and use them only to provide our services. We handle personal information as described in our Privacy Policy. If we become aware of a security breach affecting your data in our care, we'll notify you promptly and help you meet any obligations you have to notify others.
8. Limitation of liability
For any claim related to our services, our total liability is limited to the fees you paid us for the affected service in the three (3) months before the claim. If your data is lost, corrupted or accessed without authorization while in our care, including through a security breach, our total liability for that event is limited to the fees you paid us for the affected service for one (1) month.
We're not liable for indirect or consequential losses, including lost profits, lost revenue, lost business opportunities or loss of goodwill, even if we were told they were possible.
These limits don't apply where the law doesn't allow liability to be limited, such as for fraud or wilful misconduct.
9. Warranties
We'll perform our services with reasonable skill and care. If something we delivered doesn't work as agreed in the scope, tell us within 30 days of delivery and we'll fix it at no charge. Other than that, our services are provided "as is", and we don't make other warranties to the extent the law allows.
10. Third party services
Our work often relies on services from other companies, such as hosting, domain registrars, payment processors, texting and email providers, and app stores. Their terms and pricing apply to those services, and we aren't responsible for their outages or changes.
11. Ending services
You can cancel a monthly or yearly service at any time with written notice (email is fine). It stays active until the end of the period you've paid for and won't renew after that. For project work, you pay for work completed up to the date of cancellation. When services end, we'll give you a reasonable opportunity to get a copy of your data and content.
12. Governing law
These terms are governed by the laws of Alberta and the federal laws of Canada that apply there. Any dispute will be handled in the courts of Alberta, sitting in Calgary.
13. Changes to these terms
We may update these terms from time to time. We'll post the new version on this page with a new date, and for active clients we'll give notice of significant changes before they take effect.
